These Terms & Conditions (“Terms & Conditions”), which incorporate by reference our Privacy Policy, apply to and govern your (“You”, “Your”) use of www.fundonion.com and any associated subdomains (the “Website”).

By accessing or using this Website, you agree to these Terms & Conditions in full. If you do not agree, you should not use the Website.

FundOnion Limited is a company incorporated in England & Wales (company number 12743839) with its registered office at 44–48 Paul Street, London, United Kingdom, EC2A 4LB (“FundOnion”, “We”, “Our”, or “Us”). FundOnion Limited forms part of the wider FundOnion Group, which includes FundOnion Group Holdings Limited, FundOnion Limited, FundOnion Technologies Limited, FundOnion Pay Limited, and FundOnion Capital Limited.

Provision of website

2.5 FundOnion operates as a commercial finance comparison and brokerage platform. Where you make an enquiry or contact one of our partners (including lenders and non-lender partners) (“Partners”), FundOnion may receive a commission from that Partner for the introduction.

2.6 FundOnion reserves the right to modify, suspend, or withdraw the Website (or any part of it) at any time without notice and without liability.

2.7 Your use of the Website does not guarantee any particular outcome, including any successful funding application or other financial arrangement.

2.8 FundOnion does not perform credit checks or identity verification itself; however, if you engage with a Partner, that Partner may carry out its own checks. You should familiarise yourself with their terms and privacy policy.

How we handle data

3.1 By using our Website, you expressly consent to us collecting and processing your information in accordance with our Privacy Policy.

3.2 You authorise FundOnion to share your information with relevant Partners for the purposes of managing your enquiry, and acknowledge that Partners may provide us with updates regarding your application or enquiry outcomes.

3.3 FundOnion may share data within the FundOnion Group for operational, compliance, or administrative purposes, as set out in our Privacy Policy.

Intellectual property

4.1 “Intellectual Property” means all rights in and to any content, designs, text, graphics, software, data, trade marks, trade names, logos, domain names, and all other intellectual property rights (registered or unregistered) existing now or in the future throughout the world.

4.2 All Intellectual Property in the Website and its content is owned by or licensed to FundOnion.

4.3 You are granted a limited, non-exclusive, non-transferable licence to access and use the Website for personal or internal business purposes only.

4.4 You may not copy, reproduce, distribute, modify, transmit, or create derivative works of any FundOnion Intellectual Property without our prior written consent.

4.5 All trade marks, logos, and service marks displayed on the Website are the property of FundOnion or their respective owners. Use of these marks without authorisation is strictly prohibited.

Brokerage Services

5.1 By creating an account or otherwise engaging with FundOnion, you may be offered additional brokerage services (“Brokerage Services”) to assist you in accessing funding from our lender panel.

5.2 FundOnion may request information from you (including financial accounts, bank statements, and business details) to prepare and submit applications to lenders.

5.3 Each lender makes its own independent decision as to whether to offer funding. FundOnion has no control over these outcomes.

5.4 Lenders may carry out soft or hard credit checks during this process. By engaging with FundOnion for Brokerage Services, you consent to such checks and hold FundOnion harmless for any impact on your or your business’s credit file.

5.5 FundOnion receives a commission from lenders for successful introductions. Commission amounts vary and can be provided upon request.

5.6 FundOnion Limited is not regulated by the Financial Conduct Authority and acts as a broker, not a lender.

Limitation of liability

6.1 To the fullest extent permitted by law, FundOnion shall not be liable for any loss, damage, costs, or compensation (whether direct, indirect, or consequential) arising from your use of the Website.

6.2 Without limitation, FundOnion shall not be liable for:(
i) loss of profits;
(ii) loss of sales or business;
(iii) loss of agreements or contracts;
(iv) loss of anticipated savings;
(v) loss or corruption of data or software;
(vi) loss of goodwill; or
(vii) any indirect or consequential loss.

6.3 FundOnion disclaims all warranties, whether express or implied, including any implied warranties of merchantability, fitness for purpose, non-infringement, or satisfactory quality.

6.4 Nothing in these Terms & Conditions shall limit or exclude liability for death or personal injury caused by negligence, fraud, or anything that cannot lawfully be excluded.

Entire agreement

These Terms & Conditions (together with any documents referenced herein) constitute the entire agreement between the parties and supersede all prior communications, understandings, and agreements, whether written or oral, relating to their subject matter.

Third party rights

No person other than a party to these Terms & Conditions has any right to enforce their terms under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

Miscellaneous

9.1 FundOnion may amend these Terms & Conditions at any time by updating this page. Continued use of the Website after such amendments constitutes your acceptance of the revised Terms.

9.2 You may not assign or transfer your rights under these Terms without FundOnion’s prior written consent.

9.3 Nothing in these Terms creates a partnership, joint venture, or agency relationship between the parties.

9.4 Delay or failure to exercise a right does not constitute a waiver.

9.5 If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

9.6 Neither party shall be liable for any failure to perform obligations caused by events beyond their reasonable control, including acts of God, fire, flood, or governmental actions.

9.7 These Terms & Conditions and any disputes arising from them shall be governed by and construed in accordance with the laws of England & Wales, and the courts of England & Wales shall have exclusive jurisdiction.
